Welcome to Naviums. These Terms and Conditions govern your access to and use of the Naviums website, online platforms, applications, products, communications, and related services.
By accessing the website, submitting information, creating an account, requesting a service, or otherwise interacting with Naviums, you acknowledge that you have read and agree to these Terms and Conditions and the Naviums Privacy Policy.
Do not use the website or services if you do not agree to these terms.
1. About Naviums
Naviums provides healthcare, technology, consulting, training, operational-support, data, development, and other digital solutions.
Information presented on the website is provided for general informational and business purposes. Specific projects, professional services, subscriptions, products, or engagements may be governed by separate proposals, statements of work, service agreements, business associate agreements, order forms, or other written agreements.
Where a separate written agreement conflicts with these Terms and Conditions, the separate written agreement will control for the applicable service.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the website or services.
When using the website or services on behalf of a business, healthcare practice, organization, or other entity, you represent that you have authority to accept these Terms and Conditions on its behalf.

- Notifying Naviums promptly if you suspect unauthorized access or misuse.
- Ensuring that individuals using an organizational account have appropriate authorization.
You are responsible for activities performed through your account unless caused directly by a security failure within systems controlled by Naviums.
Naviums may require additional authentication or identity verification before granting access to an account or certain features.
5. Phone-Number Verification and OTP SMS
5.1 Program purpose
When you provide a mobile phone number and request verification, you consent to receive a one-time password, authentication code, or transactional security code by SMS.
Verification messages may be used to:
- Confirm ownership of a mobile phone number.
- Complete account registration.
- Authenticate an account login.
- Verify identity.
- Recover or secure an account.
- Authorize access to a protected feature.
The phone-verification program is not used to send recurring marketing or promotional text messages.
5.2 Consent to receive verification messages
By entering your mobile phone number and selecting the option to request a verification code, you consent to receive an automated, one-time transactional security message at the number provided.
You represent that:
- You are the owner or authorized user of the mobile number.
- You are authorized to receive text messages at that number.
- The mobile number you provide is accurate.
- You understand that requesting another code may result in an additional message.
Consent applies only to transactional messages necessary for phone-number verification, authentication, account security, or account recovery.
5.3 Message frequency
You will generally receive one SMS message for each verification request.
Additional messages may be sent when you request another code, restart the verification process, attempt another SMS-authenticated login, or initiate account recovery.
Message frequency therefore varies based on your verification activity.
5.4 Message and data rates
Standard message and data rates may apply.
Charges are determined by your mobile carrier and mobile-service plan. Naviums is not responsible for carrier messaging, data, roaming, or other charges.
5.5 Stopping messages
You may reply STOP to stop receiving SMS messages.
Because verification codes may be required to verify your mobile number or access protected features, opting out may prevent you from completing SMS verification or using features that require a verified phone number.
Where available, you may use another supported authentication method.
5.6 Getting help
For messaging assistance, reply HELP to the number from which you received the message.

5.7 Message delivery
Delivery depends on your mobile carrier, device, network availability, service coverage, device settings, and other circumstances outside Naviums’ control.
Messages may be delayed, blocked, or undelivered.
Carriers are not liable for delayed or undelivered messages.
Naviums does not guarantee that every verification message will be delivered immediately or within a specified period.
5.8 Mobile-information privacy
Mobile phone numbers, SMS opt-in information, and messaging consent will not be sold, rented, exchanged, transferred, or shared with third parties or affiliates for marketing or promotional purposes.
Mobile information may be provided to telecommunications carriers, verification platforms, messaging processors, and technical service providers solely as necessary to generate, route, deliver, secure, and support requested verification messages.
Such providers are not authorized to use mobile information or messaging consent for their own marketing or promotional purposes.
SMS opt-in consent provided to Naviums is specific to Naviums and is not transferable to another business, affiliate, partner, or organization.
5.9 Verification-code security
Verification codes are confidential and intended only for the person who requested them.
You should:
- Never share a verification code with another person.
- Never provide a code in response to an unsolicited telephone call, email, or message.
- Contact Naviums if you receive a code you did not request.
- Keep your device and account credentials secure.
Naviums will not ask you to disclose your verification code outside the authorized verification process.
6. Healthcare Information and Medical Disclaimer
Naviums may provide healthcare-related administrative, technical, operational, consulting, data, training, or support services.
Unless expressly stated in a separate written agreement, information on the public website:
- Is provided for general informational purposes.
- Does not constitute medical advice, diagnosis, or treatment.
- Does not create a healthcare-provider-and-
patient relationship. - Should not replace advice from a licensed healthcare professional.
Do not use the website or SMS verification program to report a medical emergency. Contact the appropriate emergency service or healthcare provider when urgent assistance is required.
Clients that provide patient, clinical, or healthcare-related information are responsible for having the authority, permissions, and agreements necessary to provide that information.
7. Service Requests and Agreements
Information submitted through forms, telephone calls, email, or other inquiry channels does not automatically create a professional-service relationship.
A service relationship may require an accepted proposal, signed contract, statement of work, payment arrangement, or other written confirmation.
Descriptions, availability, timelines, deliverables, and pricing may vary based on the applicable engagement.
Naviums may accept or decline a service request at its discretion, subject to applicable law and any existing contractual obligation.
8. Payments and Billing
Where payments are accepted through the website or another authorized channel:
- You agree to provide accurate billing information.
- You authorize the applicable charges presented before completing the transaction.
- Payments may be processed by third-party payment providers.
- Additional payment, cancellation, refund, or billing terms may be stated in the applicable proposal, order, invoice, or service agreement.
Naviums may review, suspend, or cancel a transaction where fraudulent, unauthorized, or suspicious activity is reasonably suspected.
Third-party payment providers may apply their own terms and privacy policies.
9. Intellectual Property
The website and its content—including text, graphics, logos, designs, software, interfaces, documents, images, videos, training materials, trademarks, and other materials—are owned by Naviums or used with permission.

You may not copy, publish, distribute, modify, reproduce, sell, license, create derivative works from, or commercially exploit website content without prior written authorization.
Nothing in these Terms transfers ownership of any intellectual property.

You retain ownership of information and materials you submit, except where a separate written agreement provides otherwise.
You grant Naviums permission to use submitted information as reasonably necessary to:
- Respond to your request.
- Provide requested services.
- Operate and secure the website.
- Communicate with you.
- Meet legal and contractual obligations.
You represent that you have the authority to provide the information and that its submission and authorized use will not violate another person’s rights or applicable law.
Do not submit protected health information, sensitive financial data, passwords, or confidential credentials through an unsecured public form unless specifically instructed to do so through an approved process.
11. Confidentiality
Confidentiality obligations relating to a particular client engagement may be addressed in a separate agreement.
The submission of information through a general inquiry form does not by itself create a fiduciary, professional, or contractual confidentiality relationship beyond obligations imposed by applicable law and the Naviums Privacy Policy.
12. Third-Party Websites and Services
The website may link to or integrate with third-party websites, platforms, software, payment systems, communication providers, or other services.
Naviums does not control independently operated third-party services and is not responsible for their:

- Availability.
- Security practices.
- Privacy practices.
- Products or services.
- Terms and conditions.

13. Website Availability and Changes

Naviums does not guarantee that the website will always be uninterrupted, error-free, secure, or available.

14. Disclaimer of Warranties

Naviums disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy to the extent such warranties may lawfully be disclaimed.
This disclaimer does not replace or limit any express warranties contained in a separate signed agreement.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Naviums will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of, or inability to use, the public website.
This may include loss of profits, business opportunities, data, goodwill, or anticipated savings.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
Liability relating to a paid service or professional engagement may be governed by the applicable service agreement.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Naviums and its officers, employees, representatives, and contractors from third-party claims arising from:
- Your unlawful use of the website.
